OpenAI CEO Sam Altman first hinted at the possibility of an IPO last fall, describing it as the "most likely path" for the company given its massive size and the enormous capital requirements needed to advance its technology. The company, which started as a nonprofit in 2015 with a mission to develop AI for the common good, is now valued at $852 billion.

A key step in preparing for a public listing was OpenAI's decision last year to reorganize its business structure into a public benefit corporation, while still technically remaining under the control of a nonprofit. In an April interview, OpenAI's Chief Financial Officer Sarah Friar declined to provide a specific timeline for the IPO but emphasized that the company is already operating with the discipline of a public company.

"I want us to be ready," she told The Associated Press. "I think it’s good to be able to tap the public markets.

They’re much bigger than the private markets if you believe compute is a competitive advantage." Friar noted that OpenAI's current valuation would place it among the 15 largest companies in the S&P 500. She also highlighted the "credentializing moment of being a public company," adding, "At that point, people are checking your balance sheet, the SEC is governing you and so on." The company has not yet decided on the timing of the IPO, acknowledging that there are certain initiatives that may be easier to pursue as a private entity.

However, the filing gives OpenAI the flexibility to go public sooner if that proves to be the best course of action.
